Welcome to iTudeTech (“ITUDE,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our software products, cloud platforms, websites, managed IT services, implementation services, consulting services, support services, and technology solutions.

By accessing our website, purchasing software, subscribing to cloud services, engaging IT support services, commissioning implementation projects, or otherwise using any ITUDE product or service, you agree to be bound by these Terms. If you do not agree with these Terms, you should not access or use our services.

These Terms are intended to establish a clear understanding of the rights, responsibilities, and obligations of both ITUDE and our customers.

1. Definitions

For the purposes of these Terms:

Company refers to iTudeTech, its affiliates, employees, contractors, and authorized representatives.

Customer refers to any business, organization, individual, or legal entity purchasing, subscribing to, or using ITUDE products or services.

User refers to any individual authorized by a Customer to access or use the services.

Software refers to any software application, platform, system, module, or technology solution provided by ITUDE.

ERP System refers to enterprise resource planning software provided by ITUDE, including modules for finance, operations, inventory, procurement, HR, reporting, and business management.

POS System refers to point-of-sale software and related solutions used for retail, hospitality, pharmacy, supermarket, salon, and other commercial environments.

Cloud Services refers to software, platforms, databases, hosting environments, backups, and related services delivered through cloud infrastructure.

Managed Services refers to ongoing monitoring, maintenance, administration, support, troubleshooting, and management of customer IT environments.

IT Services refers to implementation, consulting, infrastructure deployment, networking, cybersecurity, maintenance, and technology-related services.

Subscription refers to any recurring software, support, cloud, or managed service plan purchased by a Customer.

Support Services refers to technical assistance, troubleshooting, software updates, maintenance, and related support activities.

Deliverables refers to software configurations, reports, documentation, implementations, customizations, training materials, infrastructure deployments, or other outputs provided by ITUDE.

2. Acceptance of Terms

Accessing, purchasing, subscribing to, implementing, deploying, or using any ITUDE software, cloud platform, support service, managed service, implementation project, consulting engagement, cybersecurity service, or website resource constitutes acceptance of these Terms.

Customers are responsible for ensuring that all authorized Users comply with these Terms. If a Customer enters into a separate written agreement with ITUDE, that agreement may supplement or override portions of these Terms where explicitly stated.

3. Services Provided

ITUDE provides a range of business technology solutions across the United Arab Emirates, including but not limited to:

  • POS Software

  • Restaurant POS Systems
  • Supermarket POS Systems
  • Pharmacy POS Systems
  • Salon POS Systems
  • ERP Software
  • Inventory Management Systems
  • CRM Solutions
  • Accounting and Finance Software

  • Business Automation Solutions
  • Cloud Services
  • Managed IT Services
  • IT Infrastructure Services
  • Network Design and Deployment
  • Data Backup and Recovery Solutions
  • Cybersecurity Services
  • IT Maintenance and Technical Support

Services may be delivered through cloud-based platforms, on-premise deployments, hybrid environments, or customized project implementations.

As technology evolves, ITUDE reserves the right to improve, modify, replace, expand, or discontinue features, functionality, products, or services.

4. Customer Accounts

Certain services may require the creation of customer accounts or user credentials.

Customers agree to:

  • Provide accurate and complete information.
  • Maintain current contact details.
  • Keep login credentials confidential.
  • Control access granted to Users.
  • Monitor authorized User activity.
  • Immediately notify ITUDE of suspected unauthorized access.

Customers are responsible for all activity conducted under their accounts unless otherwise prohibited by applicable law. ITUDE shall not be liable for losses resulting from a Customer’s failure to protect account credentials.

5. Software Licensing

Subject to payment of applicable fees and compliance with these Terms, ITUDE grants Customers a limited, non-exclusive, non-transferable, revocable license to use the purchased software solely for their internal business operations.

Customers may not:

  • Reverse engineer software.
  • Attempt to access source code.
  • Decompile or disassemble software components.
  • Circumvent licensing mechanisms.
  • Copy software beyond permitted usage.
  • Redistribute software without authorization.
  • Sell, lease, sublicense, or transfer software rights.
  • Remove proprietary notices or branding.
  • Infringe ITUDE intellectual property rights.

All rights not expressly granted remain reserved by ITUDE.

6. Cloud Services

Many ITUDE solutions are delivered through cloud infrastructure.

Customers acknowledge that:

  • Cloud services depend on internet connectivity.
  • Service performance may vary based on network conditions.
  • Maintenance activities may occasionally occur.
  • Software updates may affect functionality.
  • Service interruptions may occasionally happen despite reasonable precautions.

While ITUDE strives to maintain reliable services, uninterrupted or error-free operation cannot be guaranteed. Scheduled maintenance may occur periodically to improve performance, security, and functionality.

Where practical, reasonable notice of planned maintenance will be provided.

7. Managed IT Services

Managed IT Services may include:

  • System monitoring
  • Helpdesk support
  • Server administration
  • Network management
  • Security monitoring
  • Maintenance activities
  • Troubleshooting
  • Software updates
  • Infrastructure management

Managed Services are provided according to the scope defined in the applicable proposal, service agreement, or subscription plan.

Customers agree to cooperate with support personnel by:

  • Providing necessary system access.
  • Responding to requests for information.
  • Maintaining supported environments.
  • Following reasonable technical recommendations.

Managed Services do not guarantee prevention of all technical failures, cyber incidents, hardware issues, or operational disruptions.

8. Customer Responsibilities

Customers agree to:

  • Use services lawfully.
  • Comply with applicable UAE laws and regulations.
  • Maintain secure passwords and credentials.
  • Protect their systems from unauthorized access.
  • Maintain required internet connectivity.
  • Maintain supported hardware where applicable.
  • Cooperate with implementation and support teams.
  • Provide accurate information.
  • Obtain required third-party licenses where necessary.

Customers remain responsible for how software and services are used within their organizations.

9. Fees and Payments

Customers agree to pay all applicable fees associated with purchased services, including:

  • Subscription fees
  • Software licensing fees
  • Implementation fees
  • Project fees
  • Consulting fees
  • Managed Service fees
  • Support fees
  • Training fees
  • Infrastructure deployment fees

Invoices must be paid according to the payment terms specified in the quotation, proposal, invoice, or agreement. Failure to pay may result in:

  • Suspension of services
  • Restriction of software access
  • Delayed support services
  • Project delays
  • Termination of service agreements

ITUDE reserves the right to update pricing for future service periods, renewals, or new subscriptions. Pricing changes will not affect fully paid existing contractual periods unless otherwise agreed.

10. Data Ownership

Customers retain ownership of all business data submitted to or processed through ITUDE systems.

Examples include:

  • Sales data
  • Inventory records
  • Accounting records
  • Employee information
  • Customer information
  • Operational reports
  • Transaction records

ITUDE processes such data solely to provide contracted services. Nothing in these Terms transfers ownership of Customer data to ITUDE.

Customers remain responsible for ensuring that their data collection and usage practices comply with applicable laws and regulations.

11. Data Backup and Recovery

ITUDE may provide backup and recovery solutions as part of certain services. Backup arrangements vary depending on:

  • Service plans
  • Deployment environments
  • Customer requirements
  • Technical architecture

While backup systems may reduce risk, Customers remain responsible for maintaining critical business records and implementing appropriate business continuity practices.

No backup solution can guarantee complete protection against every form of data loss.

12. Intellectual Property Rights

All intellectual property associated with ITUDE services remains the exclusive property of ITUDE or its licensors. This includes:

  • Software applications
  • Source code
  • Databases
  • Documentation
  • Training materials
  • Designs
  • Frameworks
  • Methodologies
  • Trademarks
  • Logos
  • Branding
  • Proprietary technologies

No ownership rights are transferred to Customers except for the limited usage rights expressly granted under these Terms.

13. Third-Party Services

ITUDE may integrate with or utilize third-party providers, including:

  • Cloud infrastructure providers
  • Hosting providers
  • Payment processors
  • Communication platforms
  • Security vendors
  • Backup providers
  • Mapping services
  • API providers

These third-party services operate independently and maintain their own policies, terms, and operational practices. ITUDE is not responsible for the actions, performance, availability, or security of third-party services beyond its reasonable control.

14. Service Availability

Customers acknowledge that software and IT services may occasionally experience:

  • Planned maintenance
  • Software upgrades
  • Security updates
  • Infrastructure changes
  • Unexpected outages
  • Connectivity issues
  • Third-party service disruptions

ITUDE will make reasonable efforts to maintain service availability and restore services when disruptions occur. However, uninterrupted availability cannot be guaranteed.

15. Limitation of Liability

To the maximum extent permitted by applicable law, ITUDE shall not be liable for:

  • Loss of profits
  • Loss of revenue
  • Business interruption
  • Loss of business opportunities
  • Loss of goodwill
  • Data loss
  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Special damages

This limitation applies regardless of the legal theory asserted.

Where liability cannot be excluded, ITUDE’s total aggregate liability shall not exceed the total amount paid by the Customer for the applicable services during the twelve (12) months preceding the event giving rise to the claim. Some legal limitations may not apply where prohibited by applicable law.

16. Indemnification

Customers agree to defend, indemnify, and hold harmless ITUDE, its employees, directors, affiliates, contractors, and representatives from claims, liabilities, losses, damages, costs, and expenses arising from:

  • Customer misuse of services
  • Regulatory violations
  • Unauthorized software use
  • Infringement of third-party rights
  • Customer negligence
  • Unlawful activities
  • Data submitted by Customers
  • Violations of these Terms

This obligation survives termination of services.

17. Suspension and Termination

ITUDE may suspend or terminate services immediately where necessary due to:

  • Non-payment
  • Fraudulent activity
  • Security threats
  • Regulatory requirements
  • Abuse of services
  • Violation of these Terms
  • Unauthorized access attempts
  • Activities that may harm ITUDE, other customers, or service infrastructure

Termination does not relieve Customers of outstanding payment obligations.

18. Changes to Services

Technology and business requirements evolve over time.

Accordingly, ITUDE reserves the right to modify:

  • Features
  • Functionality
  • Interfaces
  • Service offerings
  • Infrastructure
  • Support processes
  • Pricing structures

Where practical, reasonable notice will be provided before material changes take effect.

19. Changes to Terms

ITUDE may update these Terms periodically to reflect:

  • Legal requirements
  • Regulatory developments
  • Industry standards
  • Product enhancements
  • Business operations

Updated versions will be published on our website with a revised effective date. Continued use of services following publication constitutes acceptance of the updated Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.

Any dispute arising from or relating to these Terms or the use of ITUDE services shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates unless otherwise required by applicable law.
